Terms of Service

Please read these Terms of Service ("Terms") carefully before using QA11Y Labs' website or services. By accessing our website at qa11ylabs.com or using any of our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and QA11Y Labs ("we," "us," or "our"). By accessing our website, using our free scan tool, or engaging us for paid services, you confirm that you have read, understood, and agree to these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In that case, "you" refers to both you individually and the entity.

Users under the age of 18 may not use our services without the consent of a parent or legal guardian.

2. Description of Services

QA11Y Labs provides web accessibility services, including:

  • Free automated scan tool — a no-cost tool that scans a submitted URL and generates an automated accessibility report based on WCAG 2.2 AA criteria.
  • Paid accessibility audits — a combination of automated scanning and manual review of your web properties by our accessibility specialists, resulting in a detailed audit report with prioritized findings and remediation recommendations.
  • Accessibility consulting — advisory services to help your team build, test, and maintain accessible web experiences, including training, remediation guidance, and ongoing support.

We reserve the right to modify, expand, or discontinue any service at any time with reasonable notice where practicable.

3. Free Scan Tool

Our free scan tool allows you to submit a URL and an email address to receive an automated accessibility report. By using the free scan tool, you agree that:

  • You have the right to submit the URL for scanning (i.e., you own the website, are authorized by its owner, or the URL is otherwise publicly accessible and you have legitimate reason to scan it).
  • You will not submit URLs belonging to third parties without their authorization.
  • You will not submit URLs that host malicious content, malware, phishing pages, or content that is illegal under applicable law.
  • You will not use automated scripts, bots, or other means to submit large volumes of URLs to the scan tool in a manner that constitutes abuse or places unreasonable load on our infrastructure.

The free scan tool is provided "as-is" and is subject to the limitations described in Section 6. We do not guarantee scan availability at all times.

Scan results and your submitted email address will be retained for 90 days as described in our Privacy Policy.

5. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

  • Submit URLs hosting malicious code, malware, ransomware, spyware, or phishing content to our scan tool.
  • Reverse-engineer, decompile, or attempt to extract our scanning methodology, algorithms, or underlying software.
  • Use automated tools, scripts, or bots to access or interact with our scan tool beyond normal single-submission use (no bulk scraping or mass automation of the scan service).
  • Attempt to gain unauthorized access to our systems, infrastructure, or other users' data.
  • Resell or commercially redistribute scan reports generated by our free tool without our prior written consent.
  • Use our services in a manner that violates the rights of any third party, including intellectual property rights or privacy rights.
  • Use our services for any unlawful purpose, including any violation of applicable local, state, national, or international law or regulation.

We reserve the right to suspend or terminate access to our services for any user who violates these acceptable use requirements, with or without notice.

6. Scan Limitations and Disclaimer

Important: Automated accessibility scans detect approximately 30–40% of WCAG 2.2 accessibility issues. Automated scanning is not a substitute for manual accessibility testing and expert review.

Our automated scan tool, and the automated component of our paid audits, use rule-based testing against the Web Content Accessibility Guidelines (WCAG) 2.2 at the AA conformance level. The following limitations apply:

  • Incomplete coverage — automated tools can detect certain classes of accessibility issues (such as missing alt text, color contrast failures, and missing form labels) but cannot evaluate all aspects of accessibility, including many cognitive, motor, and contextual requirements.
  • No guarantee of conformance — a passing automated scan does not certify, warrant, or guarantee that your website is fully WCAG 2.2 AA conformant or legally compliant with any accessibility law (including the ADA, Section 508, or EN 301 549).
  • Context-dependent issues — many accessibility issues require human judgment to evaluate, such as the quality and appropriateness of alternative text, the logical reading order of content, and the usability of interactive components.
  • Dynamic content — single-page applications, content loaded via JavaScript, and interactive widgets may not be fully evaluated in a standard automated scan.

Scan results reflect the state of the submitted URL at the time of scanning. We make no representation that results will remain accurate if the website's content or code changes.

7. Intellectual Property

Our intellectual property

QA11Y Labs retains all rights, title, and interest in and to our scanning technology, software, systems, processes, testing methodologies, tools, frameworks, and underlying know-how ("QA11Y Labs IP"). These Terms do not grant you any license to QA11Y Labs IP beyond what is necessary to receive the services.

All content on our website — including text, graphics, logos, and code — is the property of QA11Y Labs or its licensors and is protected by applicable intellectual property laws.

Deliverables — paid engagements

For paid audit and consulting engagements, and subject to full payment of all applicable fees:

  • QA11Y Labs grants you a non-exclusive, perpetual license to use the audit reports and written deliverables produced specifically for your engagement ("Deliverables") for your internal business purposes.
  • You may share Deliverables internally within your organization and with contractors or vendors assisting with remediation.
  • You may not resell, publish, or distribute Deliverables to third parties as a standalone product or service without our prior written consent.
  • QA11Y Labs retains the underlying methodology, testing frameworks, and templates used to produce Deliverables.

Free scan reports

Automated scan reports generated by the free scan tool are provided for your personal or organizational use. You may use the report to inform remediation work on your own website. You may not commercially resell or redistribute free scan reports.

Your content

You retain all ownership of your website content, code, and data. By submitting a URL for scanning, you grant QA11Y Labs a limited, non-exclusive license to access and analyze that content solely for the purpose of providing the requested service.

8. Payment and Fees

The free scan tool is provided at no cost. Fees for paid audits and consulting engagements are as set forth in the applicable SOW or engagement agreement.

  • Invoices are due within the timeframe specified in the engagement agreement (typically net-30 from invoice date unless otherwise agreed).
  • Late payments may be subject to interest at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower).
  • We reserve the right to suspend services for accounts with overdue balances after providing written notice.
  • All fees are quoted and billed in U.S. dollars unless otherwise specified.
  • Refund terms, if any, are governed by the applicable engagement agreement.

9. Confidentiality

Each party ("Receiving Party") may receive confidential information from the other party ("Disclosing Party") in connection with an engagement. "Confidential Information" means any non-public information designated as confidential or that a reasonable person would understand to be confidential given the nature and circumstances of disclosure.

The Receiving Party agrees to:

  • Keep the Disclosing Party's Confidential Information strictly confidential.
  • Use Confidential Information only for the purpose of the engagement.
  • Not disclose Confidential Information to third parties without the Disclosing Party's prior written consent, except to employees, contractors, or advisors on a need-to-know basis who are bound by similar confidentiality obligations.

Confidentiality obligations do not apply to information that is publicly available through no fault of the Receiving Party, was independently developed without use of the Confidential Information, or is required to be disclosed by law or court order (with prompt notice to the Disclosing Party where legally permissible).

10. Limitation of Liability

Please read this section carefully. It limits QA11Y Labs' liability to you.

Disclaimer of warranties

Our services — including the free scan tool and paid audit deliverables — are provided "as is" and "as available." To the maximum extent permitted by applicable law, QA11Y Labs expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that: (a) our services will be uninterrupted, error-free, or secure; (b) scan results will be complete, accurate, or current; or (c) your use of our services will result in legal compliance with any accessibility standard or law.

Limitation of damages

To the maximum extent permitted by applicable law, QA11Y Labs and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including lost profits, loss of data, loss of goodwill, business interruption, or cost of substitute services — arising out of or in connection with these Terms or your use of our services, even if advised of the possibility of such damages.

Cap on liability

QA11Y Labs' total aggregate liability to you for any claims arising out of or related to these Terms or our services shall not exceed the greater of: (a) the total fees paid by you to QA11Y Labs in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (USD $100) if you have not paid any fees.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless QA11Y Labs and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your infringement of any third-party rights, including intellectual property rights or privacy rights.
  • Content you submit to our services, including URLs submitted for scanning.

12. Termination

Either party may terminate an engagement at any time for convenience with written notice, subject to any terms in the applicable engagement agreement regarding fees for work already performed.

QA11Y Labs may immediately suspend or terminate your access to our services — including the free scan tool — if you violate these Terms, engage in abusive or fraudulent behavior, or if continued access would pose a security or legal risk.

Upon termination of any engagement: (a) each party will return or destroy the other party's Confidential Information upon request; (b) you will cease use of any deliverables if fees remain unpaid; and (c) provisions that by their nature should survive termination will survive, including Sections 7, 9, 10, 11, and 13.

13. Governing Law and Disputes

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Colorado, and you hereby consent to personal jurisdiction and venue in those courts.

Informal resolution

Before initiating any formal dispute, the parties agree to first attempt to resolve the dispute informally. Either party may initiate informal resolution by contacting the other in writing describing the dispute. The parties will attempt good-faith resolution for at least 30 days before pursuing formal legal action.

Waiver of class action

To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against QA11Y Labs.

14. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this page. For significant changes, we may also provide notice via email or a prominent notice on our website.

Your continued use of our services after updated Terms have been posted constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using our services.

For active paid engagements, material changes to these Terms will not apply retroactively to the existing engagement without mutual written agreement.
